Governance Manager | Ma’aden

Role Overview

As the Governance Manager, you will be the custodian of structural integrity and transparency for one of the world’s fastest-growing mining companies. Reporting to the executive leadership, you are responsible for designing and implementing a world-class governance framework that spans Ma’aden’s domestic and international entities. This role is a critical link between the Board of Directors, regulatory bodies like the CMA and Tadawul, and the company’s various business units, ensuring that Ma’aden remains a beacon of corporate excellence as it builds the third pillar of Saudi Arabia’s economy.

Key Accountabilities

1. Strategic Advisory & Leadership

Principal Advisor: Serve as the lead governance consultant to the Board and Executive Committee, ensuring every strategic move is aligned with corporate mandates and international best practices.
Strategy Development: Formulate and lead the execution of a comprehensive governance business plan that supports Ma’aden’s long-term growth and operational goals.
Entity Governance: Lead the development of entity-level governance structures, ensuring consistent oversight across all subsidiaries and joint ventures.

2. Regulatory Compliance & Reporting

Market Disclosures: Take full responsibility for communications with the Capital Market Authority (CMA) and Tadawul, managing all listed company disclosures, reporting requirements, and the organization of General Assemblies.
Policy Formulation: Develop and communicate clear governance policies and procedures across the organization to safeguard compliance and maintain ethical standards.
Audit & Inspection: Take accountability for governance audit outcomes and regulatory inspections, proactively managing Ma’aden’s reputation and compliance posture.

3. Operational Governance & Innovation

Tech-Driven Compliance: Design and implement innovative governance technologies to automate tracking, enhance transparency, and support predictive risk management.
Performance Monitoring: Evaluate and monitor the efficiency of governance services, providing regular updates to stakeholders on the effectiveness of existing frameworks.
Knowledge Transfer: Lead training and awareness programs for the governance team and wider organization to foster a culture of high productivity and ethical awareness.

About You: Skills & Qualifications

Professional Experience:
- 7–10 years of experience in Corporate Governance or a related field.
- Proven track record in managing disclosures for listed companies and interacting with regulatory authorities.
- Deep knowledge of governance principles, methodologies, and global industry best practices.
Technical Mastery:
- Advanced understanding of CMA and Tadawul regulatory requirements.
- Proficiency in office IT applications and specialized governance/compliance software.
- Advanced conceptual and analytical thinking with a focus on risk mitigation.
Education:
- Bachelor’s degree in a related subject.
- Preferred: Master’s in Business Administration (MBA) or a Law degree from a reputable university.

- Leadership: Strong business acumen with the ability to influence at the Board and Executive levels.
